SWEEPSTAKES BEGINS October 7, 2004, AT 12:01 P.M. EST AND ENDS December 13, 2004, AT 11:59 A.M. EST (THE “PROMOTION PERIOD”).

SWEEPSTAKES IS OPEN ONLY TO LEGAL U.S. RESIDENTS (EXCLUDING RESIDENTS OF RHODE ISLAND, PUERTO RICO, GUAM, THE U.S. VIRGIN ISLANDS, AND OF ANY OTHER JURISDICTION WHERE PROHIBITED BY LAW) WHO AS OF DATE OF ENTRY (I) HAD ACCESS TO THE INTERNET AND WHO ACKNOWLEDGE THAT THEY HAVE NOT PURCHASED ANY KIND OF INTERNET SERVICE IN ORDER TO PARTICIPATE IN THIS SWEEPSTAKES, AND (II) WERE 18 YEARS OR OLDER. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

IF YOU ARE LESS THAN 18 YEARS OLD ON THE DATE OF ENTRY AND NEVERTHELESS SUBMIT AN ENTRY FORM, YOUR ENTRY WILL BE VOID BECAUSE YOU ARE INELIGIBLE TO PARTICIPATE.

C OTTON INCORPORATED, a not-for-profit corporation, located at 6399 WESTON PARKWAY, CARY, NORTH CAROLINA 27513 (“COTTON”), THEJOYOFSHOPPING.COM WEB SITE, A WEB SITE owned and operated by cotton (“TheJOYOFSHOPPING site”), IS THE SPONSOR OF THE SWEEPSTAKES. CoTTON (the “ADMINISTRATOR”) is the sweepstakes administrator/promoter/judge, AND IS RESPONSIBLE FOR JUDGING THE CONTEST, DETERMINING THE WINNERS, and the FULFILLMENT OF THE PRIZES. Eddie Bauer Inc., a for-profit corporation, located at 15010 NE 36th St, Redmond, WA, 98052-5317 , is the supplier of the prizes.

Employees and agents (and the immediate family or household members) of the ADMINISTRATOR or EDDIE BAUER, and their respective parents, affiliates, subsidiaries, shareholders, officers, suppliers, printers, distributors, advertising and promotional agencies, and prize suppliers are not eligible to participate.

This sweepstakes promotion is subject to all applicable U.S. federal, state, and local laws. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

• Online Entry Only. You may enter this sweepstakes by visiting TheJoyOfShopping Site located at www.thejoyofshopping.com, filling out all the required fields on the online entry form and submitting the form. You must completely fill out the information requested in the online entry form in order to be eligible to enter. Incomplete or inaccurate online forms are void. By submitting your online entry, you are agreeing to be notified by email if your entry was drawn in the random drawing conducted to determine the winners of the sweepstakes. The collection and use of the information that you are required to provide on your online entry is governed by these Official Rules and the Privacy Policy of TheJoyOfShopping Site, which you may access by clicking on this Privacy Policy link. Any online entry will be deemed made by the registered holder of the email account used to enter the sweepstakes. Automated or robotic entries will be disqualified. You may enter only once. Multiple entries are void. All online entries must be submitted by December 13, 2005 at 11:59 A.M. EST. All entries shall remain the property of Cotton. Entries will not be returned. If you enter online, you will also get the chance to subscribe to TheFabricofOurLives Newsletter.



• Compliance With Official Rules. By entering this sweepstakes, you agree to be bound by these Official Rules and by the decisions of the Judge, which shall be final and binding in all respects. Throughout the Promotion Period and until the winners are selected, the Official Rules will be posted at TheJoyOfShopping Site. If you wish a copy of the Official Rules sent to you by mail, please send a self-addressed, stamped envelope to the ADMINISTRATOR at 488 Madison Avenue, New York, New York 10022, Attn: THE JOY OF SHOPPING!™ ORGANIZER BAG SWEEPSTAKES. READ THESE OFFICIAL RULES CAREFULLY BEFORE YOU ENTER.



• Prizes. (5) PRIZES CONSISTING OF ONE EACH OF AN EDDIE BAUER ORGANIZER BAG (ESTIMATED RETAIL VALUE $50.00/each WILL BE AWARDED. Odds of winning depend on the number of eligible entries received during the Promotion Period in accordance with these Official Rules. All expenses, and all federal, state, provincial, and local taxes associated with winning any of the prizes are the sole responsibility of the winners. The total approximate retail value of all the prizes is US $250.00. No substitution of prizes is permitted except by the ADMINISTRATOR. Prizes are non-transferable and are not redeemable for cash.



•  Winning and Redeeming a Prize. The winners will be selected by the Judge in a random drawing from among all eligible entries. The random drawing will be held on or about December 16, 2004. The Judge’s decisions shall be final and binding. If you are one of the (5) entrants whose entry is drawn, the ADMINISTRATOR will, within four days of the drawing, notify you that your entry was drawn, and instruct you on how to proceed. The ADMINISTRATOR will provide this notification to you by contacting you at the email address you provided in your online entry. The date the ADMINISTRATOR provides the notification shall be the date you will be deemed to have received it. The ADMINISTRATOR is not responsible for reaching you if any of the contact information that you provided in your entry form has changed since you submitted your entry, or if the information you submitted was inaccurate, or if your email address does not work. If the ADMINISTRATOR is unable to reach you, your chance to win will be forfeited. You will have five days from the receipt of the notification to provide the response requested in the notification (including, if applicable, any required consents). If you do not respond within the allotted time, you will forfeit your chance to win. If you respond within the allotted time, the ADMINISTRATOR will send you a Statement of Eligibility and Liability/Publicity Release, which you must execute in order to redeem a prize. You must return the signed Statement of Eligibility and Liability/Public Release to the ADMINISTRATOR within ten (10) days from the mailing date of the Statement of Eligibility and Liability/Publicity Release. If the ADMINISTRATOR does not receive such Statement of Eligibility and Liability/Publicity Release within the allotted time, your chance to win a prize will be forfeited. If your entry was drawn and you then forfeit your chance to win as described above, an alternate winner may be selected, at the ADMINISTRATOR’S sole discretion. If selected, any alternate winner must comply with these Official Rules, including this Section 4, in order to win. YOU MAY NOT REDEEM A PRIZE IF THE ADMINISTRATOR DETERMINES THAT YOU WERE NOT ELIGIBLE TO ENTER THE SWEEPSTAKES OR WIN.



•  Publicity Rights. By participating in this sweepstakes, you consent to the use of your voice, name, likeness and/or photograph by the ADMINISTRATOR for promotional purposes in connection with this promotion, including without limitation, in print, TV, radio, cable, satellite, and online promotions, anywhere in the world, without notice, review, approval or additional compensation, except where prohibited by law.



•  Release of Liability; Disclaimer of Warranties. You hereby release the ADMINISTRATOR, and their employees, agents and consultants, subsidiaries, parents, and affiliates, from any liability arising from any injury, death, loss or damage of any kind resulting from this sweepstakes, any person’s entry or participation in it, or any person’s acceptance, use or misuse of any prize or portion thereof awarded in connection with this sweepstakes. The ADMINISTRATOR shall not be responsible for any typographical, technical, or other errors in the offer or administration of this sweepstakes, these Official Rules, any promotional materials issued in connection therewith, the selection or announcement of the winner of any prize, or the distribution of any prize. The ADMINISTRATOR shall not be responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in this sweepstakes or by any technical or human error, which may occur in the processing of submissions or notifications in this sweepstakes. The ADMINISTRATOR assumes no responsibility for any misdirected or lost entries, or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The ADMINISTRATOR shall not be responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, hardware or software equipment, failure of email on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to entrants’ or to any other person's computer related to or resulting from this sweepstakes or any individual’s participation in it. Subject to all applicable laws, if, for any reason, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the ADMINISTRATOR, the administration, security, fairness, integrity or proper conduct of the sweepstakes is corrupted or affected, the ADMINISTRATOR reserves for itself the right to cancel, modify or suspend this sweepstakes. The ADMINISTRATOR does not make any warranty, express or implied, concerning the appearance, fitness, safety or performance of any prize awarded.



• No Tampering. The ADMINISTRATOR reserves the right to disqualify any person who tampers with the entry process or any other aspect of this sweepstakes. Any attempt by an entrant or any other person to deliberately damage TheJoyOfShopping Site or undermine the legitimate operation of this sweepstakes may be a violation of criminal and civil law; and should such an attempt be made, the ADMINISTRATOR reserves the right to seek damages from any such person to the fullest extent permitted by law.



• Personal Information. The personal information that you provided on your entry form will be collected and utilized by the ADMINISTRATOR for purposes of conducting and promoting this sweepstakes and as otherwise provided in the Privacy Policy located on TheJoyOfShopping Site and these Official Rules.



•  Winners’ List & Official Rules. The names of the winners will be posted at TheJoyOfShopping Site within 90 days following the conclusion of the Sweepstakes. To obtain the name of the winners or a copy of the Official Rules by mail, send a self-addressed, stamped envelope to 488 Madison Avenue, New York, New York 10022 , Attn: THE JOY OF SHOPPING!™ Organizer Bag Sweepstakes” no later than March 31, 2005.
